San Jose, Calif.. -- Scientific-Atlanta, the maker of television set-top boxes, said
that it is facing at least two class action lawsuits related to its announced
acquisition by San Jose-based Cisco Systems. Cisco announced earlier this
month that it plans to acquire Scientific-Atlanta for about $6.9 billion in cash.
The lawsuits, which name both Scientific-Atlanta and its directors as
defendants, allege that the company's directors and officers breached fiduciary
duties to shareholders in connection with the merger. In a statement, Scientific-
Atlanta said that it believes that the lawsuits "are without merit and intends to
defend the actions vigorously."
