San Jose, Calif. -- KLA-Tencor, a San Jose-based maker of semiconductor manufacturing equipment, has agreed to pay $488 million in stock to acquire ADE, a Massachusetts-based supplier of metrology and inspection systems for the semiconductor industry. Under the deal, which has been approved by the boards of directors of both companies and is expected to close shortly after mid-year, each share of ADE will be exchanged for 0.64 shares of KLA-Tencor.
